Notes - Nest Corporation is undertaking a tender process for private equity investment solutions to use as building blocks in the NEST Retirement Date Funds and other fund choices as appropriate. Our requirements are as follows: o We require a fund, separately managed account, or combination thereof, which is evergreen in nature and will scale with Nest over time, with the ability for Nest to make increased or tranche commitments. o We require that the preponderance of portfolio companies to be acquired fit the definition of `growth` phase and small and mid-cap buy-out: --Our preference is for growth phase companies to make up the plurality of the portfolio and for large-cap buy-outs to be limited. --Where portfolio companies achieve a listing, we expect the holding of shares post listing to be time-limited and subject to a robust sell discipline. --Listed securities may not be held other than where a portfolio company achieves a listing, or for cash and risk management purposes (for example, money market instruments). o We require that the solution provides exposure to assets with a broad geographic diversification, including the major developed markets of North America and Europe. --Solutions investing beyond these markets are also welcome as long as at least one of the above regions feature significantly in the strategy...
